Terms of Service

These Terms of Service ("Terms") govern your access to and use of MusixBarn Social ("the Service," "the Platform," "we," "us," or "our"), operated by MusixBarn Social. By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing or using MusixBarn Social, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are using the Service on behalf of a band, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

These Terms apply to all users of the Service, including fans, free artists, and paid subscribers. Your continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms.

2. Account Registration and Security

To use certain features of MusixBarn Social, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your information to keep it accurate and current.
• Keep your password secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.
• Maintain only one account per person — duplicate accounts are prohibited.
• Be at least 13 years of age. Users under 18 must have parental or guardian consent.

We reserve the right to suspend or terminate accounts that contain false information, are created for fraudulent purposes, or violate these Terms.

3. Content Ownership and License

You retain full ownership of all music, images, posts, videos, and other content ("User Content") that you upload to MusixBarn Social. We do not claim ownership over your content.

By uploading User Content to MusixBarn Social, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, display, reproduce, distribute, and transmit your content solely for the purposes of operating and providing the Service. This license ends when you delete your content from the platform, except where copies have been retained in backup systems or cached by third parties.

You represent and warrant that:

• You own or have all necessary rights, licenses, consents, and permissions to upload and distribute your content on the platform.
• Your content does not infringe any copyright, trademark, patent, trade secret, privacy right, or other intellectual property or proprietary right of any third party.
• Your content complies with all applicable laws and regulations.
• You have obtained all necessary clearances for any samples, interpolations, or third-party material included in your music.

4. Subscription Plans and Pricing

MusixBarn Social offers the following account tiers:

• Free — Available to all fans and artists at no cost. Free accounts may upload up to 10 songs for sharing on the platform. Free accounts cannot sell music directly to fans.
• Standard ($4.95/month) — Paid artist subscription. Includes all Free features plus the ability to sell up to 10 songs directly to fans, verified artist badge, and same-day Stripe payouts.
• Plus ($8.95/month) — Paid artist subscription. Includes all Standard features plus the ability to sell up to 25 songs directly to fans.
• Pro Unlimited ($29.95/month) — Paid artist subscription. Includes all Plus features plus unlimited song uploads up to 5GB of total storage, priority profile placement, and early access to new features.

All paid subscriptions auto-renew monthly on the same date as your original subscription. You may cancel at any time; your paid access and features continue until the end of the current billing period. Cancellation does not entitle you to a refund for the current billing period. Your profile and follower relationships are preserved after cancellation — only selling capabilities and the verified badge are affected.

We reserve the right to change subscription pricing with 30 days advance notice to affected subscribers. Continued use of a paid subscription after a price change constitutes acceptance of the new price.

Failed subscription payments trigger a grace period of 7 days during which selling capabilities remain active. If payment is not resolved within the grace period, your subscription will be canceled and the verified badge and selling capabilities will be removed until payment is updated and the subscription is reactivated.

5. Music Sales and Revenue

Paid subscribers on Standard, Plus, or Pro Unlimited plans may sell their music directly to fans through the platform. The following terms apply to music sales:

• Revenue: Artists keep 100% of gross music sale revenue. MusixBarn Social does not take a percentage of music sales. Artists are responsible for any applicable taxes on their earnings.
• Payouts: Music sale proceeds are distributed to artists via Stripe Connect. Artists must complete Stripe's onboarding process to receive payouts. MusixBarn Social is not responsible for delays caused by Stripe's processing timelines or banking systems.
• Pricing: Artists set their own prices for songs and albums. We reserve the right to establish minimum and maximum price floors and ceilings at our discretion.
• Song limits: The number of songs an artist may sell is determined by their subscription tier as described in Section 4. Songs that exceed a plan's limit after a downgrade will be hidden from sale until the artist removes songs to comply with the limit or upgrades their plan.
• Stripe fees: Standard Stripe payment processing fees apply to all transactions and are deducted before artist payouts. These fees are charged by Stripe, not MusixBarn Social.

6. Refunds and Disputes

Digital music purchases are generally non-refundable once the download link has been delivered. Exceptions may be considered in the following circumstances:

• Duplicate accidental purchases of the same item within 24 hours.
• Technical platform errors that prevented delivery of the purchased content.
• Fraudulent transactions where a user's payment method was used without their authorization.
• Content that was materially misrepresented at the time of purchase.

Refund requests must be submitted within 7 days of purchase by contacting us at support@musixbarn.com. All refund decisions are made at our sole discretion. Subscription fees are non-refundable except where required by applicable law.

7. Prohibited Conduct

You agree not to use MusixBarn Social for any of the following purposes:

• Uploading content that violates any applicable law or regulation.
• Infringing the intellectual property rights of any third party.
• Harassing, threatening, intimidating, or abusing other users.
• Impersonating any person or entity.
• Scraping, crawling, or otherwise extracting data from the platform without written permission.
• Interfering with or disrupting platform operations, servers, or networks.
• Attempting to gain unauthorized access to any portion of the platform or its systems.
• Distributing spam, unsolicited messages, or chain letters.
• Distributing malware, viruses, or other harmful code.
• Engaging in any activity that artificially manipulates metrics, rankings, or engagement on the platform.
• Using the platform for any commercial purpose not expressly permitted by these Terms.
• Violating our Community Guidelines, which are incorporated into these Terms by reference.

8. Platform as Host — No Liability for User Content

MusixBarn Social is a hosting platform for user-generated content. We are not the author, publisher, producer, or distributor of the music, posts, comments, images, or any other content uploaded by our users.

To the maximum extent permitted by applicable law, MusixBarn Social, its owners, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, "MusixBarn Parties") are held harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Content uploaded, posted, shared, or distributed by users of the platform.
• Any infringement of intellectual property rights, privacy rights, or other rights of third parties by user-uploaded content.
• Any false, misleading, defamatory, or harmful statements made by users.
• Any transactions between artists and fans conducted through the platform.
• The conduct, actions, or omissions of any user of the platform.
• Any music, lyrics, or audio content that users upload, sell, or distribute through the platform.

The views, opinions, and content expressed by artists and users on MusixBarn Social are their own and do not represent the views, opinions, or positions of MusixBarn Social or the MusixBarn Parties. The presence of any content on the platform does not constitute endorsement of that content by MusixBarn Social.

MusixBarn Social operates as an interactive computer service provider within the meaning of Section 230 of the Communications Decency Act and is not liable for content provided by third parties.

9. DMCA and Copyright Policy

MusixBarn Social respects intellectual property rights and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, please submit a written DMCA Takedown Notice to support@musixbarn.com with the subject line "DMCA Takedown Request."

Your notice must contain: (1) a description of the copyrighted work you claim has been infringed; (2) identification of the infringing content and its URL on our platform; (3) your contact information; (4) a statement that you have a good faith belief the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature.

Users who repeatedly infringe copyrights will have their accounts terminated in accordance with our repeat infringer policy. Users who submit false DMCA notices may be liable for damages under the DMCA.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. Grounds for termination include but are not limited to violations of these Terms, violations of our Community Guidelines, fraudulent activity, or behavior that we determine is harmful to the platform or its community.

Upon termination of your account, your right to use the Service ceases immediately. Content you have uploaded will be removed from public view, though backup copies may be retained for a period of time. Active paid subscriptions will not be refunded upon termination for cause.

You may delete your own account at any time by contacting us. Upon account deletion, your content will be removed within 30 days, though aggregated and anonymized data may be retained indefinitely for analytics purposes.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no warranties regarding the accuracy, completeness, or reliability of any content on the platform, including user-uploaded music, posts, or other materials. We are not responsible for the quality, safety, legality, or any other aspect of user-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MUSIXBARN PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THE MUSIXBARN PARTIES FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO MUSIXBARN SOCIAL IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless the MusixBarn Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that arise from or relate to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another person or entity; or (e) your violation of any applicable law or regulation.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration against MusixBarn Social.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be announced on-platform with at least 14 days advance notice where practicable. The updated Terms will be posted at this URL with a revised "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Community Guidelines

Our Community Guidelines are incorporated into these Terms by reference and constitute part of the agreement between you and MusixBarn Social. Violations of the Community Guidelines are violations of these Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and MusixBarn Social regarding the Service and supersede all prior agreements, representations, and understandings.
